ACON Launches ToRCH EIA Test Kits

San Diego, CA. March 12, 2008. ACON Laboratories, Inc. (ACON, San Diego, CA) announced today the launch of ToRCH EIA Test Kits which includes IgG and IgM tests for Toxoplasma Rubella, CMV, HSV 1, HSV 2 and HSV 1/2. These products expand ACON's Immunoassay product line which currently includes tests for HIV 1/2/O, HBsAg, HBsAb, HBeAg, HBeAb, HBcAb, HCV and Syphilis. These products are currently sold in the International market while Syphilis is currently CE Marked for sale in Europe.

ACON ToRCH EIA Test Kits measure IgG and IgM antibodies qualitatively and/or quantitatively in serum and plasma for Toxoplasma, Rubella, CMV, HSV 1 and HSV 2 infections. By launching a complete ToRCH EIA panel, ACON offers the flexibility of routine screening of pregnant women to prevent serious consequences to the fetus and newborn children. In addition, diagnosis of a previous or recent ToRCH infection can aid in patient management and treatment including patients with compromised immune systems, such as those who have had organ or bone marrow transplants, undergoing chemotherapy and those that have HIV/AIDS. All ToRCH EIA tests have been standardized using the same procedure and reagent volumes. The ToRCH EIA tests also feature specimen verification which changes the solution from green to blue to confirm that the specimen has been added and reduce procedural errors. Results are available within 70 minutes which can be performed both manually and on automated sample processors.

ACON ToRCH EIA Test Kits utilize the indirect method for IgG detection and the immunocapture method for IgM detection allowing for high sensitivity and specificity. The presence of IgM antibodies indicates current or recent infection, while the presence and level of IgG antibodies indicates immunity and prevention of reinfection. Additionally, the tests include a 96 microwell plate with breakaway 8-well strips as well as ready to use reagents which have been color-coded and numbered. A 12 month shelf life allows for consistent and reliable performance. ACON ToRCH EIA Test Kits provide convenient procedure and reliable results at competitive pricing compared to other manufacturers.

ACON Launches Over the Counter (OTC) Urinalysis Reagent Strips

 

San Diego, CA.  December 20, 2007.  ACON Laboratories, Inc. (ACON, San Diego, CA) announced today the launch of the OTC Urinalysis product line.  The strips are currently CE marked for sale in Europe and International markets.

ACON Urinalysis Reagent Strips (URS) can be used to test at home for possible health problems related to kidney and liver function, Urinary Tract Infection (UTI), diabetes, and general evaluation of health, using the same strips that doctors use.  Testing at home provides more frequent monitoring and early detection of health abnormalities before becoming serious.  The strips detect one or more of the following analytes in urine within thirty seconds to two minutes:  Ascorbic Acid, Glucose, Bilirubin, Ketone, Specific Gravity, Blood, pH, Protein, Urobilinogen, Nitrite, and Leukocytes.  ACON Urinalysis Reagent Strips provide a cost-effective tool for effective testing and monitoring of various conditions, making basic health screening more affordable and accessible to more people worldwide.

Inverness Medical Innovations Agrees to Acquire Rapid Diagnostics Business of ACON Laboratories for US and Other Major Markets and Settles Patent Infringement Litigation

Schedules Conference Call to Discuss Acquisition and Update on 4th Quarter
WALTHAM, Mass., February 24, 2006 – Inverness Medical Innovations, Inc. (Amex: IMA) announced today that it has entered into a definitive agreement with ACON Laboratories, Inc. to acquire ACON’s business of researching, developing, manufacturing, marketing and selling lateral flow immunoassay products in the United States, Canada, Western Europe, Israel, Australia, Japan and New Zealand. ACON is a world-wide provider of diagnostic test kits in the consumer, point-of-care and laboratory markets. The business to be acquired had 2005 revenues and operating income of approximately $50 million and $17 million, respectively. As part of the acquisition Inverness will acquire a newly-constructed manufacturing facility which is currently undergoing validation in Hangzhou, China. The acquisition is expected to close in the first or second quarter with the Hangzhou manufacturing facility to be acquired through a separate closing expected to occur by the end of the second quarter of 2006.

The aggregate purchase price for the acquired business, including the manufacturing facility, will be $175 million subject to adjustment for working capital and net indebtedness with the Company assuming, on a consolidated basis, up to $4 million in indebtedness related to the Hangzhou facility. Inverness will pay ACON approximately 75 million at the closing of the acquisition and $20 million upon closing on the Hangzhou facility, with the remainder of the aggregate purchase price to be paid on completion of certain milestones related to achievement of functional manufacturing targets related to the products sold in each of the territories. The aggregate purchase price will be paid by issuing an aggregate of up to $50 million of Inverness common stock to ACON, with the remainder of the purchase price being paid in cash.

Ron Zwanziger, Chief Executive Officer of Inverness Medical, stated that “by acquiring the majority of the rapid diagnostic test business of ACON, who has proven to be an efficient manufacturer of both consumer and professional diagnostic products, we are adding significant revenues at attractive margins as well as manufacturing capabilities that will benefit us companywide. We are also pleased to fully settle our infringement claims against ACON and that the strength of our patents will be validated in several key jurisdictions through the issuance of permanent injunctions including findings of infringement." In order to leverage the ACON business'unique and successful operating philosophy, Inverness intends to continue the ACON business as a standalone sales unit operating through its existing distribution channels.

Inverness and ACON also expect to enter into an agreement at the time of the closing pursuant to which Inverness would agree to acquire ACON's rapid diagnostic business in the rest of the world in approximately three years, subject to that business' satisfaction of certain future financial performance and operational conditions.
